Notice is hereby given that the Annual General Meeting of the Asset Management Council Ltd will be held as follows:
Date: Monday 13th April 2026
Time: at 1:00pm AWST, Perth
(2:30 pm ACST / 3:00 pm AEST / 5:00 pm NZST)
Place: Crown Perth, Great Eastern Highway, Burswood WA 6100 in Plenary Room with option to join via virtual platform online.
If attending in person, registration will be taken on the day upon entry to the AGM.

A member entitled to vote at the General Meeting may appoint a proxy to vote on his or her behalf. A proxy shall be in the approved form and must be received at least 24 hours before the meeting.

To consider and, if thought fit, pass the following resolution as an ordinary resolution:
“That the minutes of the last Annual General Meeting of the Company held on 7th April 2025 be confirmed as a true and accurate record of the proceedings of that meeting”

To note the process for establishment of the 2027 Nomination Committee.
(No resolution required.) - Adopt new Constitution for the Company
To consider and, if thought fit, pass the following as a special resolution:
“That pursuant to section 136(2) of the Corporations Act 2001 (Cth), the Constitution of the Company be repealed and replaced with the new Constitution tabled at the Annual General Meeting and signed by the Chair of the meeting for the purposes of identification, with effect from the close of the meeting or any adjournment of it.”
(A new Constitution may only be adopted by Members passing a special resolution. A special resolution requires the approval of 75% of the votes cast by Members entitled to vote on the resolution and present, whether in person (physically in the room or online), or by proxy)

** Explanatory Notes
A Constitution is the governing document of the Company.
The current Constitution is outdated and contains several inconsistencies and ambiguous provisions. The new Constitution is based on a contemporary template and is in line with good governance practice.
The proposed new Constitution has been canvassed with members during the consultation stages and feedback incorporated.
The Constitution that has been made available to members, and that members are being asked to vote on, has elements that the Board believes meet the current and future needs of the Company.
Any Constitution should evolve over time as requirements change. Any future amendment will require approval by members through a special resolution.
The Board recommends that all Members review the proposed new Constitution and effect of the special resolution.
Voting Information
Voting Members entitled to vote may vote in person at the Meeting or by appointing a proxy.
Proxies
If a Voting Member is not able to attend the Meeting, they may appoint a proxy for the purposes of attending and voting at the Meeting.
A Proxy Form for the appointment of a proxy is enclosed with this Notice. If you wish to appoint a proxy, please complete the Proxy Form in accordance with the instructions and return it to the Company Secretary no less than 48 hours before the time of the Meeting.
